EGM Notice and Club Voting Rights

NOTICE IS HEREBY GIVEN that an extraordinary general meeting of the Company will be held at 11 a.m. on the
15th day of June, 2013 at the Red Cow Moran Hotel, Naas Road, Dublin 22 to consider and if thought fit pass the
following resolution which will be proposed as an ordinary resolution:

"That Mr. Pat McQuaid be and is hereby nominated by Cycling Ireland to stand as a candidate for the Presidency of the UCI at the 2013 UCI Congress and that the said nomination be executed and submitted forthwith by the Board of this Company.”

Club Voting Rights

Clubs have been asking how many votess they are entitled to. All clubs have a minimum of 2 votes which rises depending on membership - see the full regulations from the Articles and Memorandum of the company below.

In order to exercise these voting rights the club must send the equivalent number of delegates to the AGM/EGM,

Extract Form Memos and Arts of Cycling Ireland

Affiliated Clubs with less than 20 members shall be entitled to two votes each at any General Meeting of the Company.  Affiliated Clubs having between 21 and 50 members shall have 3 votes. Affiliated Clubs having between 51 and 100 members shall have 4 votes.  Affiliated Clubs having more than 100 members shall have 4 votes and 1 extra vote for every 100 members after that. Provincial Executives and Commissions shall be entitled to two votes each at General Meetings of the Company.
